Agreement for Private Lecturer Membership with Interpark, Inc.
The Lecturer Agreement is expressly incorporated into the Terms of Use and supplements the Terms
of Use to the extent that you (the "you"or "Lecturer") desire to provide Lecturer Services.
The Agreement shall be effective from May 1st, 2007 and shall apply to current and future new users.
Requirements of Lecturer
1.
You represent and warrant that you are at least 19 years of age and
desire to provide Lecturer Services.2.
You understand the intent and purpose of the Site and products
and desire to provide Lecturer Services at set forth in the Terms of Use.
Obligations of the Lecturer
1.
The Lecturer shall use Talkbean in good faith.
2.
The Lecturer shall communicate in advance any special requirements
or prerequisites relating to the Lecturer Services.
Pricing and Service Charges
1.
The Lecturer shall decide the price for lecturing products but shall consider sales commission,
call charges, tax credit, remittance commission, other deductions and, etc.2.
To ensure efficient operation of the system, Interpark reserves the right to impose on the Lecturer
any service charges, such as product registration fee, sales commissions, etc.
Such charges shall be disclosed in the Interpark Fee Policy.3.
When international trade occurs, any fees to the Lecturer will be distributed at the rate of 8:2.
This means the company in the country with student receives 80% of the fee
and the company in the country with the teacher receives 20% of the fee.
The sales commission rate will be decided considering the initial cost
and operation expenses, etc. associated with the international trade.4.
Interpark may also market the Lecturer's Lecturer Services as may be mutually agreed upon.
Any expenses required for marketing and promotion activities may be borne
by Interpark or jointly borne by the Lecturer and Interpark.
In the circumstance where any marketing activities shall be borne by the Lecturer, such expenses shall
be separately negotiated.
Provision of Lecturer Services
1.
The Lecturer shall provide the services conforming to the intent and purpose of the Site
and products, and fully understanding sales method of the product,order handling, treatment of
claims and alterations, payment methods and etc.2.
If a Member has decided to purchase a service and a payment has been made, Interpak will
automatically deliver the Lecturer the information on the product and its order through the Site
and products including email.3.
The Lecturer shall provide the lecturing service based on the order information.
4.
The Lecturer may cancel the Lecture twenty-four (24) hours before the first session of lecture
gets started, and the full amount of money paid for the Lecturer Services by the Member
shall be refunded to the Member.5.
The Lecturer shall make reasonable efforts to accommodate scheduling change requests from
Members.6.
All legal liability in connection with the Lecturer Services shall be the sole responsibility of the Lecturer.
7.
The Lecturer shall respond to claims and requests raised by the Member.
8.
The Lecturer can provide lecturing services to Members in foreign countries.
Disputes with Members
1.
In the event of any dispute arising out of or relating to the provision of Lecturer Services to
a particular Member by you, such as a failure to provide a lecture or an insufficientlyprepared
lecture etc.,the Lecturer may refund all or a portion of the Lecturer's fees or otherwise
compensate the Member.In the event that the Member or Lecturer are unable to resolve their
dispute the Lecture agrees to submit the dispute to the Member Dispute Resolution Program
and to have it resolved in accordance with the program.2.
In any event, the Lecturer shall be liable for any disputes arising out of or relating to the provision
of the Lecturer Services and agrees to defend, indemnify and hold harmless Interpark.
Payments to Lecturers
1.
Upon completion of the provision of the Lecturer Services to a particular Member or upon
settlement of a disputed claim or claims, funds held by Interpark shall be disbursed to the Lecturer.2.
You are responsible for paying all fees and applicable taxes associated with the Services in
a timely manner with a valid payment method. If your payment method fails or your account
is past due, we may collect fees owed using other collection mechanisms.
(This includes charging other payment methods on file with us, retaining collection agencies
and legal counsel, and for accounts over 180 days past due, deducting the amount owed from
your PayPal account balance.)3.
Interpark reserves the right to handle all the matters concerning foreign exchange transactions
and declaration of foreign exchange.
Obligation of Privacy Protection
1.
The Lecturer shall not use any information that would otherwise be subject to Interpark's privacy
policy, and which it learns by virtue of providing Lecturer Services, for any other purpose than as
necessary to provide the Lecturer Services to the Member.2.
In order to protect personal information of the Member, Interpark may place restrictions on access
of the Lecturer to Members?personal information provided to the Lecturer.3.
Interpark shall have no liability for any use or disclosure of personal information by the Lecturer
in any manner that is inconsistent with its Privacy Policy. The Lecturer agrees to defend, indemnify
and hold harmless Interpark for any dispute arising out of or relating to the Lecturer's use of
Member personal information.
